Did you realize? As of today Zimtu owns a major piece of an emerging copper-gold company. Ending up with a large shareholding in Trivello Energy Corp. (TSXv:TRV) (FSE:T6U1) is another milestone for Zimtu shareholders that will benefit our asset base. Most importantly Zimtu acquired its position in Trivello with a minimum of cash involved, which again proves our business model dead on.

In the case of Trivello Energy Corp. we did not create a new company but we grasped the opportunity to restructure – or should we better say to reinvent - Trivello almost from scratch. Over the last couple of months we bought out the old management and brought on new people with good names in the industry such as the former head of SGS Lakefield and the president of Strathmore Minerals. At the same time we strengthened Trivello’s asset base by vending in two properties, the historic Tom Gold Mine and – more importantly now – the Day Property, a copper-gold porphyry project in the middle of one of British Columbia’s most prolific copper-gold exploration regions.

Northgate Minerals (TSX:NGX) Kemess South Mine

The Day Property in the Toodoggone appears to have the right ingredients that are needed to make an early stage exploration project successful: the location is 50 kilometers south-east of the Kemess South mine and 150 kilometers north of Mt. Milligan, both are major gold-copper deposits. The historical gold and copper grades that were found by Falconbridge in the early 70’s are up to three times as high as the grades that are mined nearby. This means that further exploration could afford a decrease of the average grades and still make the project look attractive in this part of the world.

Drilling at Terrane Metals (TSXv:TRX) Mount Milligan Project

We think that the Day property is one of those assets that a junior exploration company should own to start with. It’s going to be an exciting experience to see Trivello move forward on this new foundation.

On closing of the Day property transaction Zimtu Capital will own 7.4 million shares of Trivello.

I have reposted the article below, as it brings up some interesting points and statistics:

——————————————————————–

Special Report Gold

Why gold is definitely not a bubble

Only 0.8% of all financial assets are allocated to gold

Many market participants and commentators are obviously having a hard time distinguishing between a bull market and a bubble. More and more articles are referring to the imminent burst of the “gold bubble” and to an alleged “crowded trade”. But are the authors of these articles crying wolf?

The facts quickly put the fear-mongering into perspective. Currently some 0.8% of all global financial assets are invested in gold, gold shares, and ETFs. In 1932 the allocation was 20%, and in the last bull market at the beginning of the 1980s it was 26%. If a total of 2% were allocated to gold, the additional demand would amount to about 85,000 tonnes – or the total global mining output of almost 34 years. Granted, this is only a numeric model, but it illustrates how unfounded the myth of a gold bubble is. According to an old saying, one tends to see the bubbles wherever one is not invested.

Amex Gold Bugs index with a market capitalization of USD 200bn

The capitalization of the equity market makes a similar point. Currently the Gold Bugs index is valued at close to USD 200bn. The index contains the 16 largest unhedged gold and silver producers. So it is definitely representative for the industry. In comparison with the S&P 500, the market capitalization of the most important gold and silver producers is minute. As of the 20th of May it accounted for 1.9% of total market capitalization. Even the capitalization of Exxon Mobile alone is 50% higher than all 16 shares of the Gold Bugs index combined.

Last week, Zimtu Capital Corp. announced the successful completion of the acquisition stage of the Elk Creek Niobium-Rare Earth Project in Nebraska and a transaction with Quantum Rare Earth Developments Corp (TSXv:QRE) (FSE:BR3).

Photo: Elk Creek, Nebraska - Population 116

Elk Creek is a significant transaction for our company and shareholders. Last week, just before the transaction was announced one of the parties involved explained that the acquisition of the project “reads like a plot for an Indiana Jones movie.”

Photo: Dan Mershon Landman Wolcott LLC
Erin Chutter, Quantum Rare Earth
Ryan Fletcher, Zimtu Capital

The Elk Creek acquisition began in August of 2009; when Zimtu along with several partners decided to pool capital and talents together to acquire the project which was described by the US Geological Survey as having the “potential to be one of the largest global resources of niobium and rare earth elements.”

Photo: Erin Chutter, Quantum Rare Earth

For the unfamiliar, niobium is primarily used as an alloy for the production of harder and greater load-bearing steel. It is used, for example, in the manufacture of bridges, buildings, oil and gas pipelines, and car frames. Rare earth elements, on the other hand, are used in the production of a number of modern devices from cell phones and laptops to hybrid cars and flat screen televisions.

The project was previously explored by Molycorp, Inc. in the 1970s and 80s and is host to a historic resource (non 43-101 compliant) of 39 MT of 0.82% Niobium (Nb2O5). For comparison, North America’s only niobium mine, IAMGold’s Niobec has proven and probable reserves of 32 MT of 0.56% Nb2O5. For more information read the News Release dated May 4, 2010.

Photo: Landowners Elda and Bev Beethe and old Molycorp Core Shack

What made the acquisition of the project so interesting was that over thirty separate landowners from the community of Elk Creek had to execute lease agreements and that each agreement was dependent on another.

After many twists and turns, nine months, several competitors and many trips to Nebraska later, the acquisition was complete. The project took significant focus and effort from our team and partners; many new friendships and relationships were built in Nebraska, Elk Creek, North America, and Europe.

Photo: Geologists Neil McCallum and Mike Cathro examining old Molycorp Core

Shortly after the announcement was made the story was picked up on the cover of the largest newspaper in the State of Nebraska the Omaha World-Herald. A link to the story “High-tech Buried Treasure” is included below:

The Elk Creek Project and our ownership in Quantum represent a significant source of value for our shareholders. The acquisition of the project was a great experience; many contributed to its success and strong friendships and relationships were created. As they say “nothing good comes easy.” With the acquisition complete, we look forward to the exploration and development of the project.

Most of our long term investors and shareholders are familiar with Commerce Resources. It was the first company that our organization created, is managed by our office, and is a core holding within our investment portfolio. Chris Grove, head of Corporate Communications, updated the audience on the Blue River Tantalum and Niobium Project in British Columbia and how the company is progressing towards becoming a stable, long-term, conflict-free, source of tantalum supply for the global markets.

Peter Dickie, President and CEO of Quantum Rare Earth Developments Corp. also made one of the company’s first European presentations. Quantum is a newly formed company that acquired the Archie Lake Rare Earth Project from Zimtu Capital in September of 2009 and recently announced the acquisition of the Jungle Well and Laverton Projects in Western Australia in which Zimtu was involved as well.

Through our property transactional services Zimtu has been aiding the development and growth Quantum and the company is a core holding within our investment portfolio. Peter provided an overview of the Archie Lake Project and outlined the company’s longer term growth strategy.

I have included videos of their London presentations below:

Over the last several months, we have work diligently to locate and identify project opportunities in the rare earth and rare metals space. We continue to identify projects to build the companies we are involved with and make available for sale or joint-venture. It was great to see the strong representation Zimtu had in London; and the progress being made on our early project acquisitions.

Quantum Rare Earth Development Corp. (TSXv:QRE), one of Zimtu Capital’s core holdings, was just listed on the Frankfurt Stock Exchange. Their trading symbol is BR3 and the WKN is A1CUNC. Zimtu Capital introduced Quantum to the rare earth elements (REE) sector when we acted as a property vendor for Quantum’s acquisition of the Archie Lake Rare Earth Property in Saskatchewan, Canada back in September 2009.

Frankfurt Stock Exchange

Over the last 12 months, I have talked with many executives about the who-what-where-when-why of the German market. Companies listing on the Frankfurt Exchange should understand that while you could benefit from the broader exposure, it also brings with it new responsibilities. For example, the translation and dissemination channels for news releases and corporate updates.

Being the contact at Zimtu Capital and Commerce Resources Corp. for many of our German shareholders, I have also found numerous differences between the German-speaking and the North American investment communities. To bridge these communities, public company executives must commit to making themselves available to institutional and retail investors to answer questions and update on the company’s developments. This exchange should basically become their second home. In both markets, investment decisions are mainly based on trust, and trust needs to be earned.

Peter Dickie - President of Quantum Rare Earth (photo courtesy of Objective Capital)

If Quantum can prove their commitment, they will stand out from the sea of dual-listed resource companies currently listed on the Frankfurt Exchange. This is a position which could be rewarded with long-term shareholder loyalty and support.

I wish them all the best and great success on the Frankfurt Exchange.

Sincerely,
